Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the TraceCover web application (the "Service") operated by Aktif Management Ltd, trading as TraceCover ("us", "we", or "our").

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Use of Service & Professional Responsibility

TraceCover provides a technology platform for independent insurance agencies and brokers to assist with the policy register and policy renewal analysis processes. You represent and warrant that you are legally authorized to input data into the Service and that you comply with all applicable state and federal insurance regulations and data privacy laws.

IMPORTANT E&O DISCLAIMER: TraceCover is a technology provider, not an insurance carrier, underwriter, or licensed insurance producer. The insights, summaries, gap analyses, and drafted communications provided by our AI engine are strictly for decision-support purposes. We do not provide insurance, legal, or financial advice. YOU, the licensed professional, assume full responsibility and Errors & Omissions (E&O) liability for reviewing, verifying, and validating all policy documents and AI-generated outputs before utilizing them or advising your clients.

3. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

4. Plan Limits, Billing & Fair Use

Plan Limits: Each TraceCover plan includes a defined monthly allocation of renewal analyses and document uploads. Your current plan limits are displayed in your account dashboard. Limits are strictly enforced and reset at the start of each monthly billing cycle.

Limit-Reached Behavior: Upon reaching your plan limit, new analyses will be suspended until the next billing cycle. No partial charges will be automatically applied, and TraceCover bears no liability for any workflow disruptions caused by reaching your usage limit.

Billing Period Resets: Usage meters reset exactly at the start of your monthly billing cycle (UTC time). Unused allowances do not roll over to the next month.

Fair Use Clause: The Service is designed for human-driven, interactive use by professional agents. Any automated, scripted, programmatic, or API-based scraping or usage of the front-end application without an explicit Enterprise API agreement is strictly prohibited and will result in immediate account termination.

5. Intellectual Property

The Service and its original content (excluding the proprietary insurance documents provided by users), features, and functionality are and will remain the exclusive property of Aktif Management Ltd and its licensors. The Service is protected by copyright, trademark, and other laws of both the United Kingdom and foreign countries.

6. Data Privacy & Zero-Retention

Your use of the Service is also governed by our Privacy Policy. As detailed in our Privacy Policy, TraceCover operates on a strict Zero-Retention Architecture for processing data. We do not permanently store your clients' Non-Public Personal Information (NPPI) uploaded for active analysis.

7. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

8. Limitation of Liability

In no event shall Aktif Management Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. (i) your access to or use of or inability to access or use the Service;
2. (ii) any conduct or content of any third party on the Service;
3. (iii) any content obtained from the Service (including missed coverage gaps or inaccurate AI-generated insights); and
4. (iv) unauthorized access, use, or alteration of your transmissions or content.

In no event will our total liability to you for all damages exceed the amount you paid to Aktif Management Ltd in the past twelve (12) months.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
